Get StartedRegistered-office changes are governed by Sections 12 and 13 of the Companies Act, 2013, and the process depends on distance. Within the same city/town: a board resolution and Form INC-22 filed within 30 days. Outside local limits but same ROC: a special resolution plus INC-22. From one ROC to another within a state, or to a different state: a special resolution and Regional Director approval in Form INC-23, followed by INC-22 / INC-28. Same-city changes typically complete in about 7–10 working days; inter-state shifts take longer due to RD approval.
Section 12 of the Companies Act, 2013 mandates every company to maintain a registered office capable of receiving and acknowledging communications. Any change of that office must be reported to the ROC within 30 days. The exact filings depend on the nature of the change.
Approvals: Board resolution only.

After RD order, file INC-28 to intimate the order to both ROCs, then INC-22 with the new address proof. ROC of new state issues a fresh CIN endorsement.
Section 403 additional fee — 2× normal fee for up to 15 days delay, escalating up to 12× for delays beyond 6 months. Plus penalties.
Company and every officer in default — penalty of ₹1,000 per day during which the default continues, up to a maximum of ₹1,00,000.
If the registered office is found to be non-existent during a physical verification by ROC, the ROC may strike off the company under Section 248 read with the Removal of Names Rules.
