Joshi (ACS), an Associate Member of the Institute of Company Secretaries of India (ICSI), holding a valid Certificate of Practice. We provide professional services in compliance with the Company Secretaries Act, 1980 and the ICSI Code of Conduct.
2. Website content
All material on this website — including articles, comparison guides, FAQs, calculators and templates — is provided for general information only. It does not constitute professional or legal advice. Specific situations require an engagement letter and tailored CS opinion.
3. Engagements & scope of work
- Each professional engagement is governed by a separate engagement letter signed by both parties.
- The engagement letter sets out the scope, deliverables, timelines, fees and exclusions.
- Any out-of-scope work will be quoted separately.
4. Fees & payment
- Fees are payable as agreed in the engagement letter — typically advance + milestone-based.
- Government / statutory fees, stamp duty and out-of-pocket expenses are billed at actuals.
- GST is charged at applicable rates.
- Late payments may attract interest at 1.5% per month.
5. Initial consultation
An initial consultation may be arranged on request, without obligation. It is intended for scoping and is not a substitute for a formal CS opinion. No client-firm relationship is created until a written engagement letter is signed.
6. Client responsibilities
- Provide accurate, complete and timely information and KYC.
- Authorise filings and approve drafts within reasonable timeframes.
- Disclose any material change of circumstances.
- Pay fees and expenses on time.
7. Confidentiality
As a practising Company Secretary, we are bound by professional secrecy under the ICSI Code of Conduct. All non-public client information is treated as strictly confidential and disclosed only as required by law, regulation or with your written consent.
8. Limitation of liability
- Our liability for any engagement is limited to the professional fee paid for that engagement, except where law mandates a higher liability.
- We are not liable for indirect, incidental, consequential or punitive damages including loss of profit, business or data.
- We are not liable for delays caused by government portals (MCA, GST, IT, RBI, IP India), force-majeure events, third-party banks/ADs or non-cooperation by the client.
9. Reliance & no guarantees
While we exercise professional skill and diligence, no outcome is guaranteed in regulatory matters that involve discretion of authorities — name approvals, DPIIT recognition, ROC/RBI condonations, trademark registrations and similar. Our undertaking is to provide best-efforts professional service consistent with ICSI standards.
10. Intellectual property
Content, trademarks, logos and design on this website are the property of CS Khushbu S. Joshi & Associates. You may not copy, reproduce or distribute the content without our written permission, except for personal, non-commercial review.
11. Termination
Either party may terminate an engagement on 15 days' written notice. On termination, fees for work already performed and out-of-pocket expenses become immediately payable. We will hand over working papers as required by ICSI standards subject to fee settlement.
12. Governing law & jurisdiction
These Terms are governed by Indian law. Any dispute is subject to the exclusive jurisdiction of the courts of Nagpur, Maharashtra.
